Subscription Agreement for Hanmi Media Base Website Service
This legally binding agreement (“Agreement”) is formalized between HanmiMedia.com, a duly registered company in the State of Washington (“HM,” “Hanmi,” “agency,” “we,” or “our”), and the subscriber, herein referred to as “Client,” who is the registered name/entity account holder at www.HanmiMedia.com and has duly authorized the subscription purchase. This Agreement governs the usage of the HanmiMedia.com Platform and access to the Services.
In this Agreement, the subsequent terms are precisely defined:
Additional Subscription Period(s): Refers to the extended time period(s) for which the Client continues to subscribe for Services after the Minimum Term has expired, aligning with the duration of the Minimum Term.
Affiliates: Denotes any entity that exercises direct or indirect control over, is controlled by, or is under common control with another entity.
Company Website: Signifies a website intended to promote the Client’s services, potentially licensed by HM as an integral part of the Paid For Services.
Data Protection Laws: Encompasses all applicable US and EU laws and regulations that dictate the usage or processing of personal data, including European Union Regulation 2016/679 and any corresponding national laws.
Domain Name: Pertains to any domain name proffered to the Client as part of the Services.
Intellectual Property Rights: Encompasses patents, rights to inventions, copyright and related rights, moral rights, trademarks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights.
Leads: Denotes any third party who contacts the Client as a result of the Services through various channels including telephone calls, SMS, emails, and booking requests on the Company Website, irrespective of whether these inquiries culminate in purchases.
Minimum Term: Stands for the stipulated minimum duration for which the Client commits to purchasing the Services, as outlined in the Order Summary.
Subscription Period(s): Following the conclusion of the Minimum Term, unless otherwise communicated to the Client in the Order Form, the Services will be extended on a monthly basis from the day subsequent to the Minimum Term’s termination.
Order Summary: Denotes the detailed summary emailed to the Client elucidating the subscribed package, its pricing, the Start Date, and the Minimum Term.
Other Digital Accounts: Refers to any third-party accounts that HM may manage as part of the Services, including but not limited to Google My Business, Facebook for Business, Bing, Google AdWords, Facebook advertising, and Bing Ads.
Services: Encompasses all services provided to the Client by HM as explicitly outlined in the Order Summary, which may include, among other aspects, the development and hosting of the Company Website, content provision on the Company Website, the Domain Name, and any content generated by HM for Other Digital Accounts.
Referral Credit: Represents any credit applied to the Client’s account for recommending third parties who subsequently avail the Services.
Service Provider: Signifies a third-party enterprise promoting its products or services on the HM Platform.
Start Date: The precise date on which the Services commence, as specified in the Order Summary.
HM Platform: Designates the proprietary technology platform owned by HM and its licensors, facilitating all HM managed websites and applications, encompassing, where applicable, the Client’s Company Website, and enabling the seamless management of such websites.
User Data: Connotes personal data (as defined in the Data Protection Act 1998) collected on the HM Platform from end users.
ALL WEBSITE SERVICE SUBSCRIPTIONS REQUIRE A 12 MONTH SERVICE TERM AGREEMENT. UPON COMPLETION OF THE 12 MONTH TERM, THE AGREEMENT AUTOMATICALLY TRANSITIONS INTO A MONTH-TO-MONTH ARRANGEMENT, AFFORDING THE CLIENT THE OPTION TO CONTINUE SUBSCRIPTION OR EXERCISE THEIR RIGHT TO CANCEL FOR ANY REASON.
1. SERVICES
1.1 HM commits to providing the Client with access to the Base Website Service Subscription, encompassing the following components, elucidated below, and contingent upon the terms stipulated in this Agreement:
1.1.1 Website Design: HM will create a WordPress CMS website, incorporating up to 5 web pages as part of the Base Subscription. Additional pages can be added at a rate of $10 per month per page. For example, a website featuring a total of 7 pages will incur a standard base monthly subscription charge of $49 for the first 5 included pages, augmented by $20 for the two additional pages, amounting to a total monthly charge of $69.
1.1.2 Hosting: HM will host the Client’s website on its private cloud servers, courtesy of its partners at Site Ground. Data restrictions apply, and further details can be found in the Bandwidth and Data Storage section.
1.1.3 Website Management: HM will manage and maintain the Client’s website to ensure its seamless functionality and sustained uptime.
1.1.4 Integration: Seamless integration with social media platforms.
1.1.5 Domain and Email: The Client is granted a complimentary domain for the initial year of service. Subsequent domain renewal payments become the Client’s responsibility. Moreover, an unlimited number of domain-based email accounts are made available, subject to data restrictions detailed in the Bandwidth and Data Storage section.
1.1.6 SEO Configuration: The website will be strategically configured to facilitate optimal Search Engine Optimization (SEO).
1.1.7 Backup: Automated daily backups of the website to ensure data security.
1.1.8 Revisions: The Client is entitled to free monthly revisions, enabling periodic updates to the website’s textual content or image assets. Any alterations exceeding the scope of basic content updates will be billed at HM’s standard hourly rate of $85 per hour.
1.1.9 Payment: The subscription necessitates automatic monthly payments via credit card, ensuring the continuous provision of Services. The Client is urged to maintain up-to-date and active credit card information to prevent service interruptions.
1.1.10 Bandwidth and Data Storage: Subscription plans encompass restricted resources for traffic bandwidth and storage capacity, inclusive of email storage. Specific limits are set at 10GB of bandwidth per month and 5GB of storage space for both the website and emails. In the event of website traffic exceeds 10GB bandwidth or storage exceeds 5GB, HM offers flexible hosting upgrades to accommodate the Client’s burgeoning needs. Upgrade to 20GB of bandwidth and 10GB of storage for an additional $20/month.
1.2 The Client commits to remit payment for the Services from the Start Date, covering the Minimum Term of 12 months at the base rate of $49 per month, in addition to any customizations or add-ons. In the context of an annual plan, the Client commits to payment from the Start Date for the Minimum Term of one year. To ensure uninterrupted third-party services like the domain name, HM will initiate the renewal charge for the subsequent year’s annual plan at the end of the 11th month of the current plan. Notwithstanding, the plan will maintain its 12-month duration. The renewal charge for the subsequent year’s annual plan at the end of the 11th month of the current plan.
